"Spareitus", "App", "we", "us" or "our" refer to Steidler IT-Consulting, as well as our affiliates, directors, subsidiaries, contractors, licensors, officers, agents, and employees.

Shopify Merchant Accounts & Store

To access certain features of the Service, you need a valid Shopify Merchant Account and a valid Shopify Store. You are responsible for maintaining the confidentiality of your account information and are fully responsible for all activities that occur under your Shopify Accounts and Stores.

Use of the Service

(a) You agree to use the Service in compliance with all applicable laws and regulations.

(b) You may not use the Service for any illegal or unauthorized purpose, and you agree to comply with all relevant laws regarding online conduct and acceptable content.

(c) You may not attempt to gain unauthorized access to any portion or feature of the Service.

Content

(a) You retain ownership of any content you submit to the Service ("User Content"). By submitting User Content, you grant Spareitus a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, publish, distribute and display the User Content as it is necessary to performance this Service

(b) Spareitus reserves the right to remove any User Content that violates these Terms or is deemed inappropriate.

Intellectual Property

The Service and its original content, features, and functionality are owned by Spareitus and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Exclusion of Warranties

You understand and agree that Spareitus will not be liable to you or any third party for any loss of profits, use, goodwill, or data, or for any incidental, indirect, special, consequential, or exemplary damages, however arising, that result from:

3. Any modification, price change, suspension, or discontinuance of the Service;

You and Spareitus agree to submit to the exclusive jurisdiction and venue of the courts located within Germany.

Non-Assignability: Spareitus may assign or delegate these Terms of Service and/or any related agreements, in whole or in part, to any person or entity at any time with or without your consent. You may not assign or delegate any rights or obligations under these Terms without our prior written consent, and any unauthorized assignment and delegation by you is void.

Severability, No Waiver, and Survival: If any part of these Terms is held invalid or unenforceable, that portion will be construed to reflect the parties’ original intent. The remaining portions will remain in full force and effect. Any failure on the part of Spareitus to enforce any provision of these Terms will not be considered a waiver of our right to enforce such provision. Our rights under these Terms will survive any termination of these Terms.

Amendments; Complete Agreement: These Terms may only be modified by a written amendment signed by an authorized representative of Spareitus, or by the posting by Spareitus of a revised version on its platform. These Terms of Service, together with the Privacy Policy, represent the complete and exclusive statement of the agreement between you and us. These Terms supersede any proposal or prior agreement oral or written, and any other communications between you and Spareitus relating to the subject matter of these terms, including any confidentiality or nondisclosure agreements.
